To our valued supporters,
5N3 Inc., formerly PayPie Blockchain Inc. (“PayPie”), made a rescission and restoration offer to Eligible Purchasers (as defined in the Offering Memorandum dated June 7, 2019) where Eligible Purchasers who were residents of Canada, the United States, or Barbados were required to accept the Rescission Offer.
We launched the live Platform with the required functionality on September 30, 2019 in accordance with the milestones set out in our Updated Whitepaper. All milestones mentioned in the updated whitepaper that was sent with the rescission offer were completed as per the original vision of PayPie, enabling you as a token holder to use your PPP tokens as we had envisaged. As a token holder, you get more value on the platform by paying in PPP. Not only is using PPP Tokens less expensive than using fiat to access the Platform, but it also allows us to work with our supporters.
We have requested multiple times to the community to use the tokens to access the Platform ecosystem. Unfortunately, we have seen little interest from the token holders even after offering huge discounts. Given the landscape that has developed over the past several years regarding utility tokens in the financial sector, our institutional clients have similarly expressed no interest in using tokens on the Platform. We have learned that most businesses are not yet ready for the wider adoption of PPP because of the risks associated with using crypto. We understand that institutional clients are also reluctant to engage with PPP due to the complexities of managing and safeguarding wallets and private keys. We have found that there are significant concerns around complexity, security, and barriers to the adoption and usage of crypto on a platform by a business user. Exacerbating these issues, the Liquid exchange where the PPP token was listed in 2020 decided to delist the PPP tokens with effect on September 8, 2022.
In light of the current environment and challenges, including the forgoing lack of interest from current token holders as shown in our latest survey and our clients, PayPie hereby offers to repurchase Eligible Tokens from Holders in consideration for the Repurchase Price in accordance with and subject to the Terms mentioned in the Repurchase Offer. Complete instructions about Repurchase Offer are available at our website and the deadline to accept this offer is November 10, 2022.
PPP tokens can be used to pay for the fee on the PayPie platform. Paying for the financial data access fee through tokens would be 25% cheaper than fiat and deliver better value for our supporters. Since its launch, the platform has become better, supports more integrations, and could be used to determine the true financial health of a business based on almost real-time data using tokens as previously informed. PayPie will continue to monitor the usage and adoption of the PPP tokens on the platform and will review them in the future to determine if the market is ready to accept the innovation. PayPie technology delivers accounting data to SMB lenders and fintechs as a single API to help them make faster and better decisions. Those decisions may be around helping clients with working capital, business planning, or strategy.
We have been informed by Liquid exchange that they will be delisting PPP tokens with effect on September 8, 2022. With 2022 just around the corner we wanted to send a quick note to wish you and your family a happy and healthy holiday!
As we prepare for the next year, we find it valuable to reflect on this year and provide insight into our plans for 2022 to those with whom we have our most valuable relationship, our token holders. First and foremost, we would like to thank token holders for their continued support. This past year was the most successful year for us from the technology perspective and I am happy to announce that we have completed our final Milestone E as per the original vision of PayPie. Our platform is now fully functional and has the ability to be fully utilized by all of our token holders, as well as large institutional banks.
As you already know that during our journey, we had to re-engineer our technology to make business financial data available through a single API and just recently received the security certifications that were needed to make sure our technology is secure and dependable for banks and other large scale institutional lenders. Customer feedback was an important element during business development activities and we learned that required security certifications were one of the most important things our bank partners will need. We will continue to invest in security enhancements as there are specific compliance requirements in different geographical locations in the world. This is a challenging task but we are moving forward.
These developments are creating more opportunities for our bank partners, and our token holders to find and support a broader array of clients. As a reminder, if you need to review the accounting or financial data on your customers such as customer concentration, balance sheet, P&L statement, cashflow or just want to stay on top of their accounts receivables or payables, our tokens are available at the Liquid Exchange and you get 25% discount compared to the fiat price when used on the platform. Today PayPie technology delivers accounting & financial data to SMB lenders and fintechs as a single API to help them make faster and better decisions through our business partner and brand ForwardAI. Those decisions may be around helping clients with cash flow, planning, or business strategy.
Recently we also developed and introduced PreciseMatch Technology which allows the cross-validation of accounting records with banking data so that financial intuitions or fintechs that are reviewing information on an SME, can reliably depend on the data provided. Technology has the potential ability to catch some accounting fraud or discrepancies and is expected to continue to be improved as we still have a lot of ideas to improve our data even further. We are also working on additional security compliance requirements as many of the financial institutions need evidence of that for compliance and audit purposes.
At PayPie, we continue to grow the actual platform usage, users, transactions and there is a lot of useful utility of the token available on the platform. We continue to improve our technology to better understand the financial health of the SMBs and to ensure a growing and stable user base of the SMBs on the platform.
We are working with our partners to promote the technology at digital events and media publications. We are also accelerating our business development efforts. On that side, sales team members are working and they are focusing on the UK, USA, Canada, Australia and New Zealand markets with good responses. The technology is appealing to financial institutions and alternative lenders which can review accounting records of SMEs in real-time. For now, there has been a business shift to rather focus on the banks, financial institutions and lenders for growth. Most of our energy is currently spent on reaching out to these institutions. We know that COVID -19 has affected a lot of businesses all across the world and generated a lot of uncertainty about the financial health of their business. Many of these businesses are looking for working capital or other types of loans from lenders.
In Sept 2019, we launched our financial information and risk assessment platform for token holders to use and access real-time financial data, key metrics, and cash flow predictions of their SMB customers but we would like to see better market adoption in our community. It's been almost 2 years now and usage has not picked up the way we expected. Anytime you need to make wiser decisions on a small business, we request you to ask your small and medium-sized customers to provide you access to the data using our technology. Those decisions could be that you are looking to invest in a company, or want better data to provide your contacts some capital or loan or you simply want to stay up to date on the progress as a stakeholder of that company.

As a limited-time promotion, from July 1, 2021 to July 31, 2021, paying for the financial data access fee through tokens would be 50% cheaper than fiat and deliver better value for our supporters. After this period, our standard discount of 25% will apply. It means accessing services on the platform using tokens will always be cheaper than fiat so go ahead and start using the platform to obtain detailed financial information about SMEs. As informed before, PPP can only be used outside of Barbados, Canada, and the USA as residents of those countries were required to rescind as per the rescission offer sent on June 7, 2019.
On the product development side, we now support over 15 integrations and we expect this number to increase by end of this year. We believe that once we have all these integrations ready, we will be able to provide support to 80%+ of the available market that needs access to the financial data on small businesses.

We celebrate that Springtime has commenced as of March 20th (until June 20th!) and we are back with our first quarterly update for 2021.
As informed earlier, we were rewriting the code to make it easier to meet the needs of institutional lenders. The last quarter was mostly invested in the product and workflow enhancement for the SMBs, in order to make it more intuitive. We also mentioned in our last update that the current workflow is being revamped to make it easier for potential institutional lenders to use the platform data in their decision-making process. SMBs today expect both a fast and streamlined process, which does not require manual uploading of financial statements for further risk assessment by lenders. Getting the proper data on the risk in a broad lending market will be a huge competitive advantage for capital providers.
Our platform allows lenders to visualize, understand, and analyze KPIs, trends, and risks in real-time. Presently, we are connected with only two accounting systems, but our goal for the next year is to increase the number of accounting systems to 10, all based on the architecture we have developed. Our company's target was to have the further revised and new version of the institution-grade platform ready by October, however, we have realized that it will be ready by the end of this year. Although it was not easy being faced with a magnitude of adversity, we have come out stronger and more resilient than before.
As a small business ourselves, we are always open to meet and onboard new lenders. If you know of any small business lender or financial institution, excluding the US and Canada, that may be interested in accepting tokens to get access to real-time financial data, we would be more than grateful for those introductions. We hope everyone is safe and are optimistic that our world will change for the better. Even with so much going on right now around the world and our experiences changing dramatically, we have made a tremendous progress in the past few challenging months.
We are constantly bringing more to our app in a time when access to data and innovative technology can make a huge difference. In an effort to support the small business community during this tough time, our platform helped hundreds of businesses apply for millions of dollars in funding through the Paycheck Protection Program through our lending partners. As we continue to improve our technology to solve real-time problems faced by small businesses, we built new, strong and deeper relationships that, we believe, is going to be of great value for the platform.
We continue to expand our ecosystem and recently added integration with Xero, the accounting system used by almost 2 million businesses in the world. Xero users can now seamlessly connect to PayPie to get automated cash flow forecasting and other financial data delivered directly based on the accounting transactions such as bills, invoices and payment trends in the accounting software.
We made significant improvements in the platform with speed and user experience. The current workflow is further being improved to make it easy for potential lenders to use the platform data in their decision-making process. Although lending criteria has tightened all across the world, but the need for real-time financial data is always going to be there. There are a lot of moving parts and we are putting it all together to make it part of a useful decision-making toolset. A platform that supports the process would be highly valuable once the pandemic is over and the world starts moving towards semi/fully automated decisions on B2B lending.

Based on the landscape and legal advice we receive, we may offer different functionality using tokens for Marketplace participants in Europe, Australia and Asia. We believe that these markets offer even bigger opportunities for us collectively. This will allow us to explore new and different use-cases for the token, based on the local regulations in a market to create increasing value for our users. These are still early days and it's important to us that we work in a legally compliant manner. Our top priority is to dominate the market in North America, before moving towards localized platforms in other markets.
We expect to launch Single Ledger soon. We’re doing final internal testing at the moment. Our marketing initiative will be focused on reaching out to tech evangelists from the accounting industry, and other blockchain players in the enterprise domain. We strongly believe that the Single Ledger initiative will bring desperately needed transparency for auditors and lenders. This may greatly improve the value of data created by PayPie.

It's time for the PayPie Updates again. As most points of interest have been covered in our Q&A post shared on the PayPie Announcements Channel on Telegram last month, we'll keep things simple and brief on this update.
First, we are happy to share that we working on getting the PPP tokens listed on exchanges. This process involves third parties (exchanges) and we have to work accordingly to their operations' timeframe, meaning that the length of the process necessarily relies on the exchanges' end. That being said, all steps are being taken in the direction of having PPP tokens listed on exchanges as soon as possible and in accordance with our roadmap terms. We are currently on the stage of providing further information requested by certain exchanges and discussions are progressing steadily. This step needs to be concluded before our Marketplace can be launched and we are diligently working towards achieving each milestone in this path.
On the platform side, developments are being conducted to deliver a seamless experience for token holders to assess the financial risk of businesses and to take part in Marketplace activities. We are building a simple, straightforward way for users to have peace of mind when making their financial decisions and our UX and UI will reflect this approach.
We are all geared-up for accomplishing great things in the near future and things are getting aligned for delivering on PayPie's value propositions like ever before. There is still more to be delivered in the remaining of Q4 and certainly a lot more in 2020 and beyond, so progress remains strong and steady and the greater value of the PayPie vision is coming near full release!

As users need to have QBO accounts to access the SME/advisor side of the platform, we will refine the way we share improvements with the community so everyone can see and understand what is being accomplished.
10. The mobile app seems to be "approaching" MVP concept level status only, when will this be available?
The mobile app development was put on hold as priorities shifted to improving app features to better serve current real businesses that are using the platform.

13. "Increasing the visibility of PayPie in the run-up to its public launch is one of the main objectives of our global team." - When will this happen and how can the community assist?

15. What will happen with those fees, they are sold on the secondary market right away again?
Tokens that come as fees from the risk assessment go to the PayPie reserve and remain there until further notice.

Our platform keeps developing better and better and we are now just an inch away from the launch pad. We are fully on track for launching our live platform with token utility sometime next month and things are looking as good as ever. Our risk assessment platform is nearly built and lenders, financial institutions, and industry players needing immediate access financial data will immensely benefit from our unique risk assessment on SMEs' financials.
This month we also released many improvements to the SME and advisor side of the software. Our what-if scenarios are up and running, our forecasting drilled-down details are live, and our immensely improved AI algorithm was revamped from the back-end and is now accounting for hundreds and hundreds of data points to generate its analysis. Our forecasts are achieving quite better accuracy rates for short term projections and this will reflect in every risk assessment performed. We also have features lined up for next month that directly focus on solving real-life business problems, such as our upcoming what-if-scenarios with simulations for loans and financing and their impacts on cash flow to help get businesses through tough times.
Still, our mobile app continues under development and we will test a new iteration soon. Its development is moving parallel to the web-app and things are progressing well. There is still a lot of work to be done, but we are approaching the MVP concept level with it, so stay tuned.
A lot (a lot!) of progress is being achieved on the Single Ledger development. Within a few months, we will see data from vendors and customers flowing through the blockchain in near-real-time. Real-life accounting software users will likely find it extremely useful and we are steadily building something truly new and unique in the accounting and blockchain world.
